Terms of Service for Maple Grove Garden Studio

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the services provided by Maple Grove Garden Studio (“Maple Grove Garden Studio,” “we,” “us,” or “our”), located at 1840 Yonge Street, Toronto, ON M4S 1Y5, Canada.

By requesting, booking, purchasing, or otherwise using any of our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms apply to all clients, property owners, tenants, occupants, and any authorized representatives who engage Maple Grove Garden Studio for services.

2. Scope of Services

Maple Grove Garden Studio provides garden-related services, which may include, without limitation:

  • Garden design and planning
  • Seasonal planting and flower bed installation
  • Lawn care and edging
  • Pruning and shrub maintenance
  • Mulching and soil improvement
  • Irrigation system setup and maintenance
  • Spring and fall cleanups

The exact scope, timing, materials, and deliverables for each project will be set out in a written estimate, proposal, work order, invoice, email confirmation, or other written communication accepted by the client.

Unless expressly agreed otherwise in writing, all services are provided on a best-efforts basis and may be affected by weather, site conditions, seasonal availability, plant health, local regulations, and other factors beyond our control.

3. User Obligations and Responsibilities

By engaging our services, you agree to:

  • Provide accurate, complete, and current information about the property and requested services;
  • Ensure that you have the legal right, authority, or permission to authorize work at the property;
  • Disclose known hazards, including underground utilities, irrigation lines, drainage issues, pests, toxic plants, unstable structures, or other site risks;
  • Obtain any required approvals, permits, consents, or permissions from landlords, condominium boards, municipalities, or other third parties, unless we have expressly agreed in writing to do so;
  • Provide safe and reasonable access to the property, including gates, water access, power access, and parking where needed;
  • Remove or secure personal property, fragile items, pets, and valuables before work begins;
  • Review and approve proposed designs, plant selections, and materials in a timely manner;
  • Notify us promptly of any concerns, defects, or issues after service completion;
  • Comply with all applicable laws, bylaws, and property rules related to the services.

You acknowledge that failure to meet these responsibilities may delay services, increase costs, or affect results. We are not responsible for damage or loss caused by inaccurate information, concealed conditions, or your failure to comply with these Terms.

4. Payment Terms and Conditions

Fees for services will be communicated in advance through an estimate, quote, proposal, invoice, or other written agreement. Unless otherwise stated, all prices are in Canadian dollars (CAD).

  • Estimates are based on the information available at the time and may change if the scope of work changes or if site conditions differ from those disclosed.
  • We may require a deposit before scheduling or beginning work, particularly for design services, custom orders, plant procurement, or larger projects.
  • Payment is due upon receipt of invoice unless a different payment schedule is stated in writing.
  • Late payments may be subject to interest at the maximum rate permitted by applicable law, plus reasonable collection costs.
  • You are responsible for any applicable taxes, including GST/HST, unless otherwise stated.
  • Any third-party materials, plants, equipment rentals, disposal fees, or permit-related costs may be billed separately unless included in the written quote.

If a payment is declined, reversed, or disputed without valid cause, we may suspend services until the account is brought current.

5. Cancellation and Refund Policy

Cancellations must be made by contacting Maple Grove Garden Studio as soon as possible. Because scheduling, materials, and labor are often arranged in advance, cancellation fees may apply.

  • If you cancel before work has begun, any refund of deposits will depend on the amount of preparation already completed, including design time, sourcing, administrative work, and reserved scheduling.
  • If materials, plants, or custom items have already been ordered, those costs are non-refundable to the extent permitted by law.
  • If services are cancelled after work has started, you will be charged for all work completed, materials used or committed, and any non-recoverable costs incurred.
  • Weather-related rescheduling may be necessary for safety or quality reasons. In such cases, we will make reasonable efforts to arrange a new service date.
  • Refunds, if any, will be issued only for amounts expressly agreed to in writing or required by applicable law.

Because gardening services are affected by living materials, weather, and site conditions, we do not guarantee refunds for outcomes influenced by factors outside our control, including plant performance after installation.

6. Liability Limitations

To the fullest extent permitted by applicable Canadian law, Maple Grove Garden Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of use, loss of enjoyment, or loss of data, arising out of or related to the services or these Terms.

Our total liability for any claim arising from or relating to the services shall not exceed the amount paid by you to Maple Grove Garden Studio for the specific service giving rise to the claim, except where such limitation is prohibited by law.

We are not responsible for:

  • Pre-existing property damage or hidden defects;
  • Damage caused by underground utilities, irrigation systems, drainage problems, or other concealed conditions not reasonably discoverable before work begins;
  • Plant failure due to weather, drought, frost, pests, disease, overwatering, underwatering, improper care, or site conditions;
  • Damage caused by third parties, animals, vandalism, or acts of nature;
  • Results affected by your failure to follow aftercare instructions or maintenance recommendations;
  • Delays or non-performance caused by force majeure events.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, wilful misconduct, or other non-excludable obligations where such limitation would be unlawful.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all intellectual property rights in our designs, concepts, drawings, plans, proposals, written materials, photographs, templates, and other creative works remain the property of Maple Grove Garden Studio or our licensors.

Upon full payment, you receive a limited, non-exclusive, non-transferable license to use the deliverables solely for the property and purpose for which they were created. You may not reproduce, resell, distribute, publish, or adapt our materials for commercial use without our prior written consent.

We may, unless you object in writing, use photographs or general descriptions of completed work for portfolio, marketing, or promotional purposes, provided that we do not disclose confidential personal information.

8. Data Protection and Privacy

Maple Grove Garden Studio collects, uses, and discloses personal information only as reasonably necessary to provide services, manage client relationships, process payments, communicate with you, comply with legal obligations, and improve our operations.

We take reasonable administrative, technical, and physical safeguards to protect personal information in our possession or control. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

By using our services, you consent to the collection, use, and disclosure of your personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), where applicable, and any applicable provincial privacy laws.

9. Force Majeure

Maple Grove Garden Studio shall not be liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to severe weather, storms, flooding, fire, drought, labour disputes, supply shortages, transportation disruptions, power outages, acts of government, public health emergencies, natural disasters, or other similar events.

If a force majeure event occurs, we may suspend, reschedule, or modify services as reasonably necessary. We will make reasonable efforts to notify you and resume performance when practicable.

10. Changes to Terms

We may update or modify these Terms from time to time to reflect changes in our services, business practices, or applicable law. The revised Terms will be effective when posted, communicated, or otherwise made available to you, unless a later effective date is stated.

Your continued use of our services after any change to these Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of our services.

11. Applicable Law and Jurisdiction

These Terms and any dispute arising out of or relating to them shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to any applicable consumer protection laws or mandatory legal rights, the parties agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the services.

13. Severability Clause

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or other competent authority, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Any invalid or unenforceable provision shall be replaced, to the extent possible, with a valid provision that most closely reflects the original intent and economic effect of the original provision.

By engaging the services of Maple Grove Garden Studio, you acknowledge that you have read, understood, and agreed to these Terms of Service.
